These Terms and Conditions govern all contractual relationships between SIGMA PRECIOSO – Unipessoal LDA and its clients. Section A contains provisions applicable to all services; Sections B, C and D contain service-specific supplements which take precedence over the general provisions to the extent that they differ from them.

Section A — General Provisions

§ 1 Scope and Contracting Parties

These Terms and Conditions apply to all contracts between SIGMA PRECIOSO – Unipessoal LDA, NIPC PT 517295172, Portugal (hereinafter “Sigma Precioso”), and the respective client for the provision of training and consulting services, in particular PMP® in-house trainings, open PMP® trainings, and PM Consulting services (PM Setup and PM Rescue).

Any deviating, conflicting or supplementary general terms and conditions of the client shall not become part of the contract unless Sigma Precioso has expressly acknowledged their applicability in writing.

For consumers within the meaning of Section 13 of the German Civil Code (BGB) — natural persons who book services predominantly for purposes outside their commercial or independent professional activity — the mandatory consumer protection provisions additionally apply. Where these Terms and Conditions conflict with mandatory statutory consumer protection rules, the statutory rules prevail.


§ 2 Services Overview

Sigma Precioso provides the following service categories:

  1. PMP® In-house Training: Corporate training programmes for PMP® certification preparation, delivered as on-site or remote events exclusively for the client’s employees (Section B).
  2. Open PMP® Training: Participation in scheduled small-group training sessions (max. 8 participants) in German (Section C).
  3. PM Consulting: Project management consulting, in particular PM Setup (establishing PM structures) and PM Rescue (stabilising critical projects) (Section D).

The subject matter of all services is always the careful execution of the agreed activities, not the achievement of any specific commercial outcome or examination result.


§ 3 Formation of Contract

Offers on Sigma Precioso’s websites and in presentations and documents are non-binding and do not constitute legally binding offers.

A contract is formed upon Sigma Precioso’s written order confirmation (by email or document) in response to a booking request, acceptance of an offer, or other order declaration by the client. An automatic acknowledgement of receipt of a booking request does not constitute acceptance.

Sigma Precioso reserves the right to decline requests, in particular where capacity limits have been reached, eligibility requirements are not met, or there is another objective reason.


§ 4 Prices, Taxes and Payment Terms

Applicable prices are those set out in the confirmed offer, the booking confirmation, or the price lists published on Sigma Precioso’s website. All stated net prices are exclusive of statutory VAT applicable at the time of invoicing.

Invoices for open training sessions are issued with the booking confirmation and are due immediately without deduction. A place is confirmed once the full invoice amount has been received in Sigma Precioso’s account; this must occur no later than the day before the first training day. If payment is not received in time, the place lapses; the payment obligation from the booking remains in force and the cancellation provisions of § 22 apply. Card payment is available upon request at no additional charge. Invoices for in-house trainings are issued with the order confirmation for the full amount and must be paid in full before the first training day. Payment terms for consulting services are 14 days from the invoice date, unless otherwise agreed. In each case, the decisive factor is the receipt of the full invoice amount in Sigma Precioso’s account.

In the event of default, Sigma Precioso is entitled to charge interest on arrears at a rate of 9 percentage points above the base interest rate (Section 288(2) BGB) as well as a flat-rate reminder fee of EUR 40.00 pursuant to Section 288(5) BGB. The right to claim further damages arising from the default is reserved.

In the event of default, Sigma Precioso is entitled to withhold further services until all outstanding amounts have been paid in full.


§ 5 Set-off and Right of Retention

The client is only entitled to set off claims that have been finally established by a court, are undisputed, or have been recognised by Sigma Precioso.

A right of retention is available to the client only where it arises from the same contractual relationship. This does not apply to consumers, for whom the statutory rules apply without restriction.


§ 6 Client’s Duty to Co-operate

The client shall ensure that all information, access and acts of co-operation required for the provision of services are made available in full and on time. Delays attributable to inadequate co-operation by the client shall not be the responsibility of Sigma Precioso.

Participants in training sessions are obliged not to disrupt the conduct of the training. Sigma Precioso is entitled to exclude participants who persistently disrupt the session or repeatedly fail to follow instructions; in such cases no refund of the participation fee is due.


§ 7 Right of Withdrawal for Consumers

Consumers within the meaning of Section 13 BGB who conclude a contract exclusively via means of distance communication (e.g. website, email) have the right to withdraw from that contract within 14 days without giving reasons. The withdrawal period commences on the day the contract confirmation is received from Sigma Precioso.

Withdrawal must be declared in text form (e.g. by email to info@sigma-precioso.de). Timely dispatch of the withdrawal declaration is sufficient to observe the deadline.

Where the consumer has expressly agreed in the booking form that Sigma Precioso may begin performance before the withdrawal period expires, the right of withdrawal lapses upon the consumer’s first login to the learning area. That login grants access to the digital preparatory materials; the service is thereby deemed to have commenced. This consequence is set out clearly and separately in the booking form.

No right of withdrawal exists for clients acting as entrepreneurs within the meaning of Section 14 BGB.


§ 8 Warranty and Changes to Services

Sigma Precioso provides services with the diligence of a prudent businessperson. The subject matter of the service is the execution of the agreed measures in accordance with the state of knowledge at the time of performance, not any particular commercial or examination-related result.

Sigma Precioso reserves the right to change the content, speakers, or delivery format of training sessions for objective reasons, provided the overall character of the event is maintained and the client is not significantly disadvantaged thereby. The client will be informed of material changes without delay.

Warranty claims by the client require that any defects are reported to Sigma Precioso in writing without delay upon discovery. Sigma Precioso is entitled to remedy identified defects within a reasonable period.


§ 8a Pass Protection

(1) Should a participant fail the PMP® examination at the first attempt, Sigma Precioso will reimburse the PMI® re-examination fee for the second attempt up to the PMI® member rate. Reimbursement is made upon presentation of proof of payment to PMI®, at the euro equivalent on the payment date according to the payment receipt.

(2) The following conditions must be cumulatively met:

  • Full attendance on all training days (no unexcused absences);
  • Full completion of the 30 Days Challenge with a pass rate of at least 66% per daily quiz;
  • Examination taken within 45 days of the last training day.

(3) A reduction of the 30 Days Challenge to a minimum of 15 days is permissible and does not affect the condition.

(4) This commitment applies equally to all training products offered by Sigma Precioso.


§ 9 Liability

Sigma Precioso is liable without limitation for damages arising from injury to life, body or health, and for damages resulting from wilful misconduct or gross negligence.

For breaches of duty resulting from ordinary negligence, Sigma Precioso is only liable where a material contractual obligation (cardinal obligation) has been breached, and in such cases only up to the amount of the typically foreseeable damage at the time the contract was concluded.

Liability for loss of profit, indirect damages and consequential damages is excluded to the extent permitted by law.

Sigma Precioso accepts no liability for passing the PMI® examination, for the client’s decisions based on training content, or for the results of consulting services where these are based on incomplete or incorrect information provided by the client. The liability provisions apply correspondingly to Sigma Precioso’s vicarious agents.


§ 10 Confidentiality

Both parties undertake to treat all confidential information received in the course of the business relationship — including business data, project information, client lists, internal processes and strategic planning — as strictly confidential and not to disclose it to third parties without the other party’s express written consent.

Sigma Precioso does not publicly disclose information about clients or projects and uses only anonymised references in any case studies (e.g. “international chemical company” rather than the company name).

The confidentiality obligation applies indefinitely beyond the end of the contractual relationship. It ceases to apply if and to the extent that the information becomes publicly known without any contribution from either party, or where a statutory duty of disclosure exists.


§ 11 Intellectual Property and Rights of Use

All materials created and provided by Sigma Precioso — training documents, presentations, exercises, digital content, concepts, analyses and reports — are protected by copyright and remain the intellectual property of Sigma Precioso, unless otherwise agreed in writing.

The client is granted a non-exclusive, non-transferable licence to use the materials for the contractually agreed purpose. Reproduction, distribution, commercial use or modification requires the express written consent of Sigma Precioso.

For individually created deliverables produced in the context of consulting services (reports, concepts, roadmaps), a full assignment of rights may be agreed by way of exception; this requires an express written provision in the respective project contract.


§ 12 Data Protection

Information on the collection, processing and use of personal data in the context of the business relationship and Sigma Precioso’s websites can be found in the Privacy Policy at sigma-precioso.com/privacy-policy/. The legal basis for the processing of client data is Art. 6(1)(b) GDPR (performance of a contract and pre-contractual measures) and Art. 6(1)(c) GDPR (compliance with a legal obligation).


§ 13 Governing Law and Jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For clients acting as entrepreneurs within the meaning of Section 14 BGB, the exclusive place of jurisdiction is the registered seat of Sigma Precioso. Sigma Precioso additionally reserves the right to bring an action against the client at the client’s general place of jurisdiction.

For clients acting as consumers within the meaning of Section 13 BGB, the statutory jurisdiction rules apply without restriction; in particular, consumers resident in Germany may bring proceedings at their general place of jurisdiction.


§ 14 Severability

Should any individual provision of these Terms and Conditions be or become wholly or partly invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the statutory rule that most closely approximates the economic purpose of the invalid clause.

Section B — Special Provisions for PMP® In-house Trainings

§ 15 Subject Matter of In-house Training

Sigma Precioso delivers PMP® in-house training programmes exclusively for the client’s employees, either as on-site events at the client’s premises or at a location proposed by Sigma Precioso (max. 12 participants), or as remote training (max. 20 participants). The specific format, number of participants, scope and dates are set out in the offer or order confirmation.

Training may be delivered in an intensive block format or as a modular format spread over several weeks; the choice lies with the client. Where on-site training is split into multiple blocks, a surcharge of EUR 1,500.00 (net) applies for each additional journey. The language of delivery is German or English as agreed. The date is binding upon the order confirmation; receipt of payment is not required for this.


§ 16 Scheduling and Delivery Conditions

Dates are agreed in writing between Sigma Precioso and the client after the order confirmation. For on-site training, the client shall provide a suitable, low-distraction training room with the required technical equipment (projector or screen, stable internet connection, whiteboard or flipchart). For remote training, Sigma Precioso shall provide the video conferencing platform.

For on-site training, a travel and accommodation flat rate of EUR 4,000.00 (net) applies. This covers travel and accommodation for the trainer and is charged once per training event. Where training is split into multiple blocks, a surcharge of EUR 1,500.00 (net) applies for each additional journey. No further travel expenses are invoiced separately.


§ 17 Price Basis and Number of Participants

The agreed price is based on the number of participants stated in the offer. If the actual number of participants on the training day is lower than the agreed number, the total price remains due unchanged. Substitution by a qualified replacement participant is possible with prior agreement from Sigma Precioso.

If the number of participants increases beyond the basis stated in the offer, this must be agreed in advance in writing. The per-participant price stated in the offer is charged for each additional participant. No separate proof of additional expense is required.


§ 18 Cancellation of In-house Training by the Client

Cancellations are only effective in text form (email to info@sigma-precioso.de). The decisive factor is the time of receipt of the cancellation declaration by Sigma Precioso.

The client retains the right to demonstrate that Sigma Precioso has suffered no damage or substantially less damage. Sigma Precioso in turn reserves the right to claim demonstrated damage exceeding the cancellation fee.

Instead of cancellation, a cost-neutral postponement of the date at the client’s request is possible once, upon agreement, up to 6 weeks before the training day, provided a new date is agreed within 6 months.


§ 19 Cancellation by Sigma Precioso (In-house)

Sigma Precioso is entitled to cancel a confirmed in-house training for good cause, in particular where the trainer is ill without the possibility of a suitable replacement, in cases of force majeure, or where circumstances attributable to the client make delivery impossible.

Where Sigma Precioso cancels for reasons within its sphere of responsibility, all payments already made will be refunded in full. Further claims for damages by the client — in particular reimbursement of participants’ travel or accommodation expenses — are excluded, unless Sigma Precioso acted wilfully or with gross negligence.

In the event of trainer unavailability, Sigma Precioso will offer an alternative date without delay.

Section C — Special Provisions for Open PMP® Training

§ 20 Subject Matter of Open Training

Sigma Precioso offers open PMP® preparation training in German as scheduled small-group sessions with up to 8 participants. Training is delivered as live online or on-site events in the formats “4 consecutive days”, “2+2 days (Thursday/Friday and Monday/Tuesday)” and “2+2 days at the weekend”.

The PMI® examination fee is not included in the participation fee and is paid directly to PMI® by participants. Current examination fees are available on the PMI® website (pmi.org).


§ 21 Eligibility Requirements

Participation requires that attendees meet, or are in the process of meeting, the eligibility requirements set by PMI® for the PMP® examination. Responsibility for meeting PMI®’s eligibility requirements lies with the client or participant; Sigma Precioso does not verify these during the booking process.

Bookings are possible before official PMI® approval has been received. If PMI® subsequently rejects the application, no right to free cancellation arises; the cancellation provisions of § 22 apply.


§ 22 Cancellation of Open Training by the Client

Cancellations are only effective in text form (email to info@sigma-precioso.de). The decisive factor is the time of receipt of the cancellation declaration by Sigma Precioso.

After the 4-week deadline has passed, cancellation is excluded. The participant may instead postpone to a later advertised date occurring within 12 months of the original date. The postponement is free of charge and may be exercised repeatedly up to 48 hours before training start, subject to availability.

The client retains the right to demonstrate that Sigma Precioso has suffered no damage or substantially less damage.


§ 23 Illness and Replacement Participants

Illness of a registered participant does not give rise to a separate right of withdrawal. The provisions of § 22 apply regardless of the reason for non-attendance; the free-of-charge postponement option under § 22 is also available in the event of illness.

Replacement participants: A replacement participant may be nominated free of charge in text form (email) up to the start of the first training day. The replacement participant must meet the eligibility requirements of § 21. Upon notification, all fees under § 22 are waived.


§ 24 Cancellation and Delivery Guarantee

Sigma Precioso guarantees the delivery of every confirmed date regardless of the actual number of participants. A date is confirmed once the full invoice amount has been received in Sigma Precioso’s account; this must occur no later than the day before the first training day. If payment is not received in time, the place lapses; the payment obligation from the booking remains in force and the cancellation provisions of § 22 apply. A confirmed date is not cancelled due to low bookings. In the event of unforeseen unavailability of the event venue, training will be delivered in live online format as a fallback.

If Sigma Precioso cancels for reasons within its sphere of responsibility, all participation fees already paid will be refunded in full. Further claims — in particular reimbursement of travel expenses — are excluded, unless Sigma Precioso acted wilfully or with gross negligence.

Sigma Precioso will notify the client of any cancellation without delay by email and will offer an alternative date upon request.

Section D — Special Provisions for PM Consulting

§ 26 Subject Matter of PM Consulting

Sigma Precioso provides project management consulting services, in particular:

  • PM Setup: Building, structuring and standardising project management processes, methods and tools within organisations.
  • PM Rescue: Analysing, stabilising and realigning critical or at-risk projects.

The precise scope of services, remuneration, timeline and deliverables are agreed individually for each engagement in a separate project order or Statement of Work (SoW). In the event of conflict, the project order takes precedence over these Terms and Conditions.


§ 27 Client’s Duty to Co-operate (Consulting)

The client shall provide Sigma Precioso in a timely and complete manner with all information, documents, system access and contact persons required for the consulting service. The client shall designate a responsible contact person with decision-making authority.

Delays in the project timeline attributable to late or incomplete co-operation by the client shall not be the responsibility of Sigma Precioso, and shall entitle Sigma Precioso to adjust deadlines and, where applicable, to charge for additional effort thereby caused.

Sigma Precioso is entitled to engage qualified external experts as subcontractors for the delivery of consulting services; responsibility towards the client remains with Sigma Precioso.


§ 28 Cancellation and Termination (Consulting)

The cancellation or early termination of consulting engagements is governed by the provisions of the project order. Where no separate agreement has been made, the following applies:

The client may terminate the project order in writing with 4 weeks’ notice to the end of a calendar month. Services already rendered and billable, as well as costs demonstrably incurred that can no longer be avoided, are in any case to be remunerated.

The right of either party to terminate for good cause without notice remains unaffected.


§ 29 Acceptance of Consulting Services

Where the project order defines deliverables (e.g. concepts, reports, roadmaps) as services subject to formal acceptance, the client shall either accept them in writing or raise specific, comprehensible defect notices within 10 working days of handover. If this period expires without a response, the service shall be deemed accepted.

Consulting services that do not comprise separable deliverables (e.g. workshops, coaching, accompaniment) shall be deemed rendered upon completion.
